Join STERIS in its vision to see the world free from infection and contamination as Paralegal SUMMARY This position will provide assistance to the Company's Legal Department, businesses, and outside attorneys and advisors, including: reviewing and preparing legal documents, preparing and organizing Board of Directors' materials, organizing and maintaining legal entities, business licenses, corporate record books and related materials, monitoring, preparing and assisting with SEC filings and NYSE reporting, organizing Legal Department records, managing litigation discovery and document production, assisting with business development activities, and conducting legal research (including statutes, regulations, judicial decisions, legal articles, or legal codes). ESSENTIAL JOB FUNCTIONS 1. Assist attorneys with complex, confidential or sensitive matters covering a wide range of legal issues, including, accurate preparation of significant legal documentation, interfacing with attorneys, outside counsel , secretarial firms, Board members, and management at all levels, preparing meeting minutes, organizing documents, and maintaining files and subsidiary record books. 2. Locate and organize discovery materials, and prepare draft responses for discovery matters in response to pleadings, interrogatories, and requests for admission. 3. Assist attorneys with research of laws, cases, regulations or legislative bills, litigation case analysis, and briefing of legal issues. 4.Obtain due diligence information (including records/abstracts from state and federal agencies) and preparing related reports/abstracts/summaries. 5. Assist General Counsel with scheduling and preparing materials for Board of Director and Committee meetings, and conducting follow up. 6. Assist with the preparation of draft agreements, resolutions and other documents. 7. Assist with legal research (includes internet research) and preparation of reports and presentations. 8. Assisting with equity compensation matters, including stock option exercises and executive compensation transactions and related filings. 9.Screening incoming correspondence and refer matters to appropriate personnel, and handle miscellaneous issues and matters as requested by attorneys. 10. Assist in collecting and organizing information and documents pertinent to claims and litigation involving the Company through interaction with Company personnel; requires understanding of Company information management systems and policies. 11. Organize and maintain Company litigation files and track fees and statistics relating to cases involving the Company. 12. Organize and maintain legal entity information and records to assure accurate information and legal compliance and good standing; requires understanding and use of Company legal entity management system.
Job Requirements
EDUCATION/LICENSE REQUIREMENTS Associate's Degree in Paralegal Studies or paralegal certification approved by the American Bar Association. EXPERIENCE REQUIREMENTS Minimum three years experience as a paralegal in a private law firm or corporate legal department. Broad knowledge of the basic principles of judicial and administrative process; knowledge of legal research procedures; knowledge of corporate record keeping, legal entities, and legal entity maintenance; knowledge of Board of Directors and Board Committee functions. Strong typing skills (70-80wpm) and computer skills (MS Word, Excel, Power Point, Access) required, with knowledge of general office equipment. Superior organizational, analytic, verbal and writing skills necessary. Superior interpersonal skills; ability to work with various types of people at all levels of management. Good business judgment; ability to complete tasks under pressure and/or strict deadlines; detail oriented. NATURE OF PROBLEM SOLVING Personally identify and implement actions necessary to accomplish assigned responsibilities, within deadline and with optimal efficiency; Routinely operates under pressure of project deadlines and extended workload. Ability to deliver results and drive projects to completion within assigned time frames. Ability to prioritize and professionally handle multiple projects, multiple attorneys and multiple clients at the same time is a must. EMPOWERMENT AND DECISION MAKING ENVIRONMENT Responsible for: achieving daily, weekly, and monthly priorities and projects within time-critical deadlines under the direction of Legal Department attorneys; initiating actions which will improve efficiency and workflow within job scope; confidential handling of sensitive information and protection of privilege; resolving conflicting priorities as they develop and escalating problems to the appropriate manager(s) when resolution cannot be reached. WORKING CONDITIONS Position requires sitting for extended periods of time, and extensive use of computer and telephone.
